Who we are and acceptance
By using our websites, contacting us, or engaging our broking services, you agree to these terms. “Goodrich Orient” (“Goodrich”, “we”, “us”) provides broking/intermediation in Chartering (Chemicals & Palm Oils), Sale & Purchase (S&P), and Derivatives (FFAs & Options). If we sign a recap or contract (e.g., CP, MOA, COA, ISDA/brokerage agreement), that document governs and prevails over anything here in case of conflict.

What we do (broker, not principal)
We introduce parties, provide market colour, relay offers, and help negotiate. We do not take title to goods, operate vessels, or act as an agent with authority to bind you unless expressly agreed in writing.

Quotes and information
Any prices, indications, availability, timelines, analytics, or commentary we share are indicative, subject to confirmation and contract, and may change without notice. While we aim for accuracy, we do not guarantee completeness or error-free content.

No advice
Our material is general market information only; it is not investment, legal, tax, accounting, or technical advice. You should obtain independent advice and assess suitability, margin, and risk (especially for derivatives) before acting.

Your responsibilities
You confirm you have authority to engage us and to enter into the transactions you request; that information you provide is accurate and not misleading; that your activities comply with applicable laws, sanctions, and export controls; and that you will complete KYC/AML requests promptly.

Fees and payment
Our remuneration (brokerage/fees/commissions) is agreed per deal or in writing. Unless agreed otherwise: invoices are due within [X] days; amounts are exclusive of taxes and you are responsible for applicable taxes; we may set off unpaid amounts where lawful.

Dual agency and conflicts
We may act for multiple market participants on a transaction (common in broking). We aim to manage conflicts fairly and will disclose material conflicts we become aware of. You consent to our acting for other parties unless you object in writing before we proceed.

Counterparties and performance
Your contracts are with the counterparties you select. We are not responsible for a counterparty’s performance, solvency, or conduct.

Compliance and conduct
Both parties will comply with applicable anti-bribery, anti-corruption, sanctions, KYC/AML, competition, and data protection laws. We may suspend or decline work if proceeding would breach law or our policies.

Privacy and communications
We handle personal data per our Privacy Policy. You agree we may communicate by email, phone, or messaging apps for service and operational purposes.

Website use and intellectual property
Site content is owned by Goodrich or its licensors and is for your internal business use only. Do not copy, scrape, or redistribute without permission. Third-party links/tools are used at your own risk.

Limitation of liability
To the fullest extent permitted by law: we exclude any indirect, consequential, or loss-of-profit damages; our total liability arising out of or in connection with our services is capped at the aggregate fees you paid to us in the 12 months before the claim arose; nothing limits liability for fraud, wilful misconduct, or where law does not allow.

Force majeure
Neither party is liable for delays or failures caused by events beyond reasonable control (for example: extreme weather, war, terrorism, sanctions changes, strikes, power/network outages). Obligations resume when the event ends.

Termination
Either party may end an engagement that has not yet resulted in a binding transaction by written notice. Termination does not affect accrued rights, fees due, or existing contracts (charterparties, MOAs, derivative trades, etc.).

Governing law and disputes
These terms are governed by the laws of [choose: India (Maharashtra) / England & Wales / Singapore]. Courts of [city/country] have exclusive jurisdiction, unless a specific contract between the parties provides for arbitration or another forum, in which case that agreement governs the dispute.

Changes
We may update these terms from time to time. The current version is the one shown here with the “Last updated” date.
